These terms govern use of Cliphorium Agent Ops services and explain the difference between a public audit, a permissioned backend review, and approved workflow execution.
Cliphorium is a custom service. We build approval-first agent workflows around the tools your business already uses, including public website audits, Website Watch monitoring, custom workflow agents, managed agent ops, agent-assisted drafting, reports, and approved fix-plan execution. There is no off-the-shelf product — each setup is scoped during the Agent Ops Audit.
Free public audits are informational and non-invasive. They review public pages, public headers, common routes, visible customer paths, trust pages, sitemap, robots, and obvious public-facing issues.
Backend, admin, hosting, CRM, form, booking, payment, support, analytics, or workflow reviews require written approval and temporary limited access, screen share, OAuth, scoped tokens, or collaborator access. Cliphorium does not need your personal password.
AI-generated drafts, repair plans, workflow actions, alerts, and recommendations require human review. Cliphorium agents do not send messages, create records, apply repairs, or modify connected tools without your approval.
AI-generated summaries, drafts, plans, and recommendations may be incomplete or incorrect. They support human review and do not replace business, legal, financial, employment, medical, or safety judgment.
Setup fees cover custom scoping, configuration, and implementation work and are typically non-refundable once scope has been approved and work has begun. Monthly fees cover monitoring, operation, maintenance, reporting, and support based on the selected package, and may be cancelled going forward at any time. Final pricing depends on connected tools, number of workflows, backend/admin access, alerting needs, reporting cadence, and support level, and is confirmed after the Agent Ops Audit.
Do not use Cliphorium for unlawful, abusive, deceptive, harmful, spam, credential theft, malware, unauthorized access, surveillance abuse, or attempts to bypass scope, security, rate limits, or access boundaries.
Cliphorium may update, improve, limit, suspend, or discontinue parts of the service. No system is guaranteed to be uninterrupted, error-free, or able to discover every issue. We do not promise specific uptime or response-time SLAs unless agreed in writing.
Customers are responsible for providing accurate setup information, confirming they have authority over connected systems, reviewing drafts and fix plans before approval, and securing their own accounts and credentials. Approved actions are the customer's actions; Cliphorium is not liable for outcomes that follow customer approval.
Either party may end the service. On termination, scheduled workflows are paused and connected access is wound down. Customers may request export or deletion of audit-trail entries, drafts, and workflow data where technically and legally possible. Some records may be retained to meet business or legal obligations.
To the maximum extent permitted by law, Cliphorium is not liable for indirect, incidental, consequential, special, punitive, lost-profit, or business-interruption damages arising from use of the services.

Certain records may be retained where required for billing, tax, legal, fraud-prevention, security, dispute-resolution, or accounting purposes. Termination does not remove obligations for completed services, unpaid invoices, or records that Cliphorium is required to retain.
